Terms of Service
Mandra Voice
Version 1.1 · Effective 27 September 2026 · Last updated 27 September 2026
These Terms are a binding agreement between you and YAANTRIX Technologies Inc., a corporation incorporated under the laws of Ontario, Canada, with its registered office at 4600 Joy Rd, Maidstone, Ontario N0R 1K0, Canada ("Mandra Voice", "we", "us", "our").
They cover the Mandra Voice desktop application, the website at mandravoice.com, and every related service (together, the "Service"). Two other documents form part of this agreement and you should read them too: the Acceptable Use Policy and the Refund & Cancellation Policy. Our Privacy Policy explains how we handle your personal information. Your licence to the desktop software is set out in the End User License Agreement.
Please read §16 (Limitation of Liability) and §17 (Disputes) carefully. They limit what we owe you and affect how disputes are resolved.
1. Acceptance
By creating an account, installing the application, or using the Service, you agree to these Terms. If you do not agree, do not use the Service and uninstall the application.
If you are agreeing on behalf of a company or other organisation, you represent that you have the authority to bind it, and "you" means that organisation.
We record the version of these Terms you accepted, when you accepted it, and the IP address and user agent you accepted it from. That record is described in our Privacy Policy.
2. Eligibility
You must be at least 13 years old to use the Service, or 16 if you are in the European Economic Area or the United Kingdom (or such other age as your country sets for digital consent). If you are under the age of majority where you live, you may use the Service only with the involvement of a parent or guardian who agrees to these Terms on your behalf.
The Service is not offered in the European Economic Area or the United Kingdom. We have not appointed the local representative that GDPR and UK GDPR Art. 27 require of a company established outside those regions, so we do not accept customers there. Sign-up, payment and dictation are refused for requests we identify as coming from those countries.
You must not use the Service if we have previously terminated your account, or if you are subject to sanctions administered by Canada, the United States, the United Kingdom, or the European Union, or are located in a country subject to a comprehensive embargo.
3. What the Service does
Mandra Voice is a desktop dictation application for macOS and Windows. You press a hotkey, speak, and release; the Service converts your speech to text and types or pastes it into whichever application is in front. It can optionally improve that text using AI, read text aloud, expand snippets, and act on spoken commands.
To do this the application needs permission to use your microphone, and — on macOS — Accessibility permission so it can type into other applications, plus Input Monitoring so it can detect your hotkey. You grant these permissions in your operating system, and you can revoke them at any time, though the Service will not work without them.
The application captures audio only while dictation is active. It does not listen in the background.
4. Your account
You are responsible for your account credentials and for everything that happens under your account, whether or not you authorised it. Keep your password secret, use a strong and unique one, and tell us at support@mandravoice.com immediately if you suspect unauthorised access.
One account is for one person. Do not share your credentials or your subscription with anyone else. Do not create multiple accounts to get around free-tier limits or a suspension. Team and Enterprise plans exist for multiple people; use one.
We may reclaim an account that has been inactive for more than 24 consecutive months after giving you 30 days' notice by email.
5. Plans and pricing
| Plan | Price | What you get |
|---|---|---|
| Basic | Free | 1,000 words per week, snippets, 20 languages, Privacy Mode |
| Pro | $16 USD/month, or $153.60 USD/year ($12.80/month) | Everything in Basic, unlimited dictation, Command Mode, priority support, early access |
| Pro + Read Aloud | $24 USD/month, or $230.40 USD/year ($19.20/month) | Everything in Pro, Read Aloud (20 per day), premium voices, AI summary mode |
| Enterprise | Contact support@mandravoice.com | Everything in Pro + Read Aloud, unlimited Read Aloud, team management, usage dashboards, volume pricing |
Annual plans are billed once for the year at a 20% discount against the monthly rate. All prices are in US dollars and exclude taxes, which are added at checkout where applicable.
The plans, limits, and prices in force are always those published at mandravoice.com/pricing and shown in the application. We may change them, subject to §6.
Free tier limits. The Basic plan's weekly word allowance resets each week. When you reach it, dictation is paused until the next week or until you upgrade. We may adjust the free allowance from time to time; if we reduce it we will give 30 days' notice.
Fair use. Paid plans described as "unlimited" are for normal individual use. We may apply rate limits, and we may contact you or throttle your account if usage is so far outside normal human dictation patterns that it indicates automation, resale, or abuse, as described in the Acceptable Use Policy.
6. Billing, renewal and price changes
Paid plans are billed in advance and renew automatically — monthly plans each month, annual plans each year — until you cancel. By subscribing, you authorise us and Stripe to charge your payment method on each renewal date.
Stripe is the seller of record. Subscriptions are sold through Stripe's Managed Payments
service, which means Stripe — not us — is the merchant for the transaction: it charges you,
issues the receipt and invoice, and is responsible for collecting and remitting any sales
tax, VAT or GST. Your card statement shows LINK.COM* alongside our name, and receipts show
the purchase as "Sold through Link". Stripe also provides support for payment and
subscription questions, and may issue a refund under its own policies. We remain responsible
for the Service itself and for your personal information, as described in our
Privacy Policy.
Prices exclude tax. The prices shown in the app and on our website do not include sales tax, VAT or GST. Any tax that applies where you live is calculated and added at checkout, and shown before you pay.
- Cancelling. You may cancel at any time from Settings → Plans & Billing, which opens the Stripe customer portal. Cancellation stops the next renewal; you keep access until the end of the period you have already paid for.
- Upgrades and downgrades. Upgrading takes effect immediately and is prorated. Downgrading takes effect at the end of your current billing period.
- Failed payments. If a payment fails we will retry and email you. If it remains unpaid we may downgrade your account to the free plan or suspend access until it is resolved.
- Price changes. We may change prices with at least 30 days' notice by email to your registered address. The new price applies from your next renewal. If you do not accept it, cancel before that renewal.
- Taxes. Prices exclude sales tax, GST/HST, QST, VAT, and equivalent taxes, which we add where we are required to collect them. You are responsible for any other taxes arising from your use of the Service.
- Refunds are governed by the Refund & Cancellation Policy.
7. Promotional codes, credits and referrals
Promotional codes are subject to their own stated terms, may be withdrawn at any time before use, have no cash value, cannot be combined unless we say so, and cannot be applied retroactively.
Our referral programme awards account credits when someone signs up through your referral link and becomes a paying customer — currently 500 credits to you and 250 to them, where 100 credits are worth $1 USD of account credit. Credits apply against future invoices, are not redeemable for cash, expire when your account closes, and cannot be transferred. We may change or end the programme at any time, and we will void credits obtained through self-referral, fake accounts, spam, paid advertising on our brand terms, or any other manipulation.
8. Your content, and who owns what
You own what you dictate. Every transcript, snippet, dictionary entry, and piece of text the Service produces for you is yours ("Your Content"). We claim no ownership of it.
You grant us a worldwide, non-exclusive, royalty-free licence to host, store, transmit, process, and display Your Content solely to operate the Service for you — for example, to transcribe your speech, improve your text, sync your settings between your devices, and show you your history. This licence exists only so that the software can function, ends when you delete the content or your account, and permits nothing else.
We do not use Your Content to train AI models, and our agreements with our providers prohibit them from doing so with your audio or text.
We own the Service. The application, our website, our source code, models, designs, documentation, the Mandra Voice name and logo, and everything else we made remain ours and our licensors'. Nothing in these Terms transfers any of it to you. You may not use our name or branding in a way that suggests we endorse you, without our written permission.
Feedback. If you send us suggestions, we may use them freely and without obligation to you. We are not taking your ideas — we simply cannot run a product where every feature request creates a claim.
9. Acceptable use
You must comply with the Acceptable Use Policy, which is part of these Terms. In summary, and without limiting it: do not break the law, do not record people who have not consented where the law requires their consent, do not dictate protected health information, do not abuse our quotas or reverse-engineer the software, and do not use the Service to harm anyone.
10. Recording other people
Mandra Voice is a dictation tool, intended for you to speak your own words. If you use it in a situation where other people can be heard, you alone are responsible for complying with the recording and privacy laws that apply to you. Many jurisdictions — including Canada under s.184 of the Criminal Code, and a number of US states — require the consent of some or all parties before a conversation may be recorded. Requirements differ by place and by circumstance.
We provide the tool; we cannot know your context, and we do not advise you on it. Get consent when it is required.
11. Devices
Your subscription covers one person on up to 3 registered devices, with up to 2 running at the same time. Signing in on a fourth device requires signing out of one. These limits keep per-seat pricing honest; they are not a licence to share an account.
Enterprise plans are licensed per seat on terms set out in the applicable order form.
12. AI features and accuracy
Speech recognition and AI text improvement are probabilistic. They will sometimes produce text that is wrong, incomplete, differently punctuated, or not what you said — particularly with unusual vocabulary, background noise, accents the model handles poorly, mixed languages, or specialist terminology.
You must review what the Service produces before you rely on it. Do not use its output as medical, legal, financial, tax, clinical, or safety-critical advice without independent professional review. Do not deploy it into any context where an error could cause injury, loss, or harm.
AI models can reflect biases present in their training data. We make no warranty that any output is accurate, complete, appropriate, or fit for any purpose, and you are responsible for anything you do with it.
13. Communications
We will send you service emails about your account — receipts, payment problems, security notices, changes to these Terms — and you cannot opt out of them while you hold an account.
We will send marketing, product-update, and re-engagement emails only with your consent. You can withdraw that consent at any time using the unsubscribe link in any such email or in Settings → Notifications, and we will act on it promptly and in any event within 10 business days, as Canada's Anti-Spam Legislation requires.
14. Availability and changes to the Service
We aim to keep the Service running but we do not guarantee it will be uninterrupted or error-free. It depends on third-party providers, on your network, and on your operating system, and any of them can fail. We may take the Service down for maintenance, and we will try to do so at low-impact times and to warn you when we can.
We may add, change, or remove features. If we discontinue a feature you paid for, or materially reduce what your plan provides, we will give you at least 30 days' notice and you may cancel and receive a prorated refund of the unused portion of your term.
We may suspend the Service to you immediately, without notice, if doing so is necessary to protect the Service, other users, or a third party — for example during an active security incident or an attack originating from your account.
15. Termination
You may stop using the Service and delete your account at any time from Settings → Data & Privacy. Deleting your account cancels any active subscription immediately, deletes your data as described in the Privacy Policy, and is irreversible. If you want a refund, ask before you delete — once the account is gone we cannot look up your history.
We may suspend or terminate your account if you materially breach these Terms or the Acceptable Use Policy, if you fail to pay, if your use exposes us or others to legal or security risk, or if we are required to by law. Except where the breach is serious or the law prevents it, we will give you notice and a reasonable chance to fix the problem first.
We may also discontinue the Service entirely on 90 days' notice, in which case we will refund the unused portion of any prepaid term.
On termination your licence ends and you must stop using the software. You may export your data before deleting your account, and you should — after deletion it is gone. Sections 8 (ownership), 16, 17, 18, and any provision that by its nature should survive, survive termination.
16. Disclaimers and limitation of liability
The Service is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted operation.
To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, nor for lost profits, lost revenue, lost data, lost goodwill, or business interruption — even if we were told such damages were possible.
Our total liability for all claims arising out of or relating to these Terms or the Service is limited to the greater of (a) the fees you paid us in the 12 months before the event giving rise to the claim, or (b) $100 CAD.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law — including liability for fraud, for fraudulent misrepresentation, for death or personal injury caused by negligence, or under consumer protection legislation that applies to you. If you are a consumer, you keep every right your local consumer law gives you, and nothing here takes those rights away. In Quebec, nothing in these Terms limits the warranties imposed by the Consumer Protection Act or the Civil Code of Québec.
Some jurisdictions do not allow the exclusion of implied warranties or of certain damages, so parts of this section may not apply to you.
17. Indemnity
If you are using the Service for business purposes, you agree to defend and indemnify us against claims, damages, and reasonable legal costs arising from your breach of these Terms or the Acceptable Use Policy, your content, or your violation of any law or third-party right — including any claim that you recorded someone without the consent the law required.
This section does not apply to you if you use the Service as a consumer for personal purposes.
18. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Talk to us first. Before starting any formal proceeding, email support@mandravoice.com with a description of the problem and what you want. Most disputes are resolved this way, and we will engage in good faith for 30 days.
If you are a consumer, you may bring proceedings in the courts of your place of residence, and you keep the benefit of any mandatory consumer-protection law of that place. Nothing in these Terms requires a consumer to arbitrate, waives a consumer's right to participate in a class action, or purports to override a consumer's statutory rights — provisions of that kind are unenforceable against consumers in Ontario, Quebec, and elsewhere, and we do not attempt them.
If you are not a consumer — that is, if you use the Service for business purposes — you and we agree that the courts of Windsor, Ontario have exclusive jurisdiction, and you and we each waive any objection to that venue.
You must bring any claim within one year of when it arose, except where a longer period is required by law.
19. Changes to these Terms
We may update these Terms. When a change is material we will update the version and date at the top, email your registered address at least 14 days before it takes effect, and show a notice in the application.
Continuing to use the Service after the effective date means you accept the updated Terms. If you do not accept them, stop using the Service and close your account before that date; if you had prepaid, we will refund the unused portion of your term.
Changes required by law or necessary to address a security issue may take effect immediately, and we will tell you as soon as we can.
20. General
Entire agreement. These Terms, together with the Acceptable Use Policy, Refund Policy, EULA, and Privacy Policy, are the whole agreement between us about the Service, and replace any earlier understanding.
Severability. If a provision is held unenforceable, it is limited or removed to the minimum extent necessary and the rest stays in force.
No waiver. Not enforcing a provision once does not waive it.
Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets, on notice to you.
Force majeure. Neither party is liable for failure to perform caused by events beyond reasonable control — including provider outages, network failures, natural disasters, war, and government action.
No third-party beneficiaries. These Terms create rights only between you and us.
Language. These Terms are drafted in English. Les parties ont exigé que la présente convention et tous les documents qui s'y rattachent soient rédigés en anglais. Where we provide a translation and it conflicts with the English, the English governs, except where your local law requires otherwise.
Notices. We will send notices to your registered email address. Send legal notices to YAANTRIX Technologies Inc., 4600 Joy Rd, Maidstone, Ontario N0R 1K0, Canada, and to support@mandravoice.com.
