End User License Agreement

Mandra Voice Desktop Application Version 1.0 · Effective 18 September 2026

This EULA governs your licence to the Mandra Voice desktop software (the "Software"). It sits alongside our Terms of Service, which govern the subscription service the Software connects to. Where the two overlap, the Terms of Service govern the service and this EULA governs the software on your computer.

The Software is licensed, not sold. YAANTRIX Technologies Inc. and its licensors retain all ownership of it.

1. Licence grant

Subject to your compliance with this EULA and the Terms of Service, we grant you a personal, limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to install and use the Software on computers you own or control, up to the device limits of your plan (currently 3 registered devices, 2 running concurrently), for your own use.

An Enterprise licence granted under an order form may vary these limits; where it does, the order form controls.

2. What you may not do

You may not, and may not permit anyone else to:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, prompts, or model behaviour of the Software, except to the exact extent that applicable law expressly permits despite this restriction — including s.30.6 of the Canadian Copyright Act and Article 6 of EU Directive 2009/24/EC on interoperability. If you want interoperability information, ask us first at support@mandravoice.com; we will usually just give it to you.
  • Extract credentials. Do not attempt to recover API keys, tokens, or secrets from the Software, its memory, its network traffic, or its update artifacts, or use any such credential outside the Software.
  • Modify or create derivative works, including patching the binary, injecting code into the process, or altering the update mechanism.
  • Redistribute the Software — copy it for others, host it for download, bundle it, resell it, rent it, lease it, or provide it as a service to third parties.
  • Remove or obscure copyright notices, trademarks, or attribution.
  • Circumvent licence checks, usage quotas, device limits, or plan gating.
  • White-label the Software or present it as your own product.

3. Updates

The Software updates itself automatically, and there is currently no setting to turn this off. It checks for new versions, downloads them in the background, and installs them when you quit the application. By installing the Software you consent to receiving these updates.

Update packages are code-signed, and the operating system's updater verifies that signature before installing; an unsigned or mismatched package is rejected.

We may require a minimum version in order to keep using the service — old versions stop working when a server-side interface they depend on changes. If you need to stay on a specific version, contact support@mandravoice.com.

Updates are provided under this same EULA unless a new version accompanies them.

4. Third-party components

The Software includes open-source components, each licensed under its own terms, which apply to those components in place of this EULA where they conflict. A complete list of components and licences is available in the application under Settings → About → Open source licences, and on request at support@mandravoice.com.

The Software also installs and runs small native helper components:

  • On macOS, a helper binary that detects the frontmost application and pastes text into it, and a native event-tap component that detects when your hotkey is released.
  • On Windows, a keyboard hook that detects your hotkey, and a clipboard-paste helper.

These exist because the operating system does not otherwise let an application type into another application. They are part of the Software, signed with the same certificate, and covered by this EULA and by our Privacy Policy — the keyboard component watches for your configured hotkey only, and is not a keylogger.

5. System permissions

The Software requires permissions you grant through your operating system:

Permission Platform Why
Microphone macOS, Windows To capture audio while you dictate
Accessibility macOS To type or paste text into other applications
Input Monitoring macOS To detect your global hotkey
Screen Recording macOS Optional; improves detection of which application is in front

You may revoke any of these at any time in your system settings. The Software will tell you what has stopped working; it will not attempt to work around a permission you removed.

6. Data

Your use of the Software is subject to our Privacy Policy. In short: audio is captured only while dictation is active and is never retained; transcripts are stored under a retention period you control, or not at all in Privacy Mode.

The Software stores settings, cached data, and — if you supply your own provider API keys — those keys, on your computer. Keys are encrypted using your operating system's secure storage (macOS Keychain, Windows DPAPI). Uninstalling the Software does not delete your cloud account; delete the account in Settings → Data & Privacy if that is what you want.

7. Term and termination

This licence runs until terminated. It ends automatically if you breach it, and it ends when your account is closed or your subscription lapses (for paid features; free-tier functionality continues under the Basic plan).

On termination you must stop using and uninstall the Software. Sections 2, 8, 9, 10, and 11 survive.

8. No warranty

The Software is provided "as is", without warranty of any kind to the fullest extent permitted by law. We do not warrant that it will be error-free, that it will work with every application you might dictate into, that transcription will be accurate, or that it will be compatible with future versions of your operating system.

If you are a consumer, you keep every statutory warranty your local law gives you and this section does not reduce them.

9. Limitation of liability

Our liability under this EULA is limited exactly as set out in §16 of the Terms of Service, which is incorporated here by reference.

10. Export and sanctions

The Software may be subject to Canadian, US, and other export control laws. You may not use or export it in violation of those laws, and you represent that you are not located in, or a national or resident of, a country subject to a comprehensive embargo, and are not on any restricted-party list.

11. Government use

If you are a Canadian federal, provincial, US federal, or other government entity, the Software is "commercial computer software" and is provided with only the rights granted to all other users under this EULA, unless a separate written agreement says otherwise.

12. Governing law

This EULA is governed by the laws of the Province of Ontario and the federal laws of Canada applicable there. The dispute-resolution provisions in §18 of the Terms of Service — including the consumer protections in them — apply to this EULA as well.
